Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and LAB81 LLC ("Company," "we," "us," or "our"), governing your access to and use of the BatchReady website, platform, and all related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

2. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into a binding contract to use this Service. By using the Service, you represent and warrant that you meet these requirements. If you are using the Service on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms.

3. Description of Service

BatchReady is a software tool that assists food entrepreneurs in scaling recipes for commercial production. The Service may generate production sheets, cost breakdowns, and nutrition label estimates using artificial intelligence and automated calculations. The Service is provided as a productivity and informational tool only.

4. Account Registration

To access certain features of the Service, you must create an account using Google authentication or another method we provide. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

5. Payments, Subscriptions, and Refunds

Certain features of the Service require payment. All fees are stated in U.S. dollars and are non-refundable except as required by applicable law. Subscription plans renew automatically unless canceled before the renewal date. Per-recipe purchases are one-time charges. We reserve the right to change pricing at any time, with notice to active subscribers. Payment processing is handled by Stripe, Inc., and by making a purchase you also agree to Stripe's terms of service.

The Service does not provide legal, regulatory, nutritional, medical, food safety, or professional advice of any kind. All outputs generated by BatchReady, including but not limited to nutrition labels, production sheets, cost breakdowns, and HACCP plans, are estimates and informational aids only. They are not substitutes for professional consultation with qualified food scientists, registered dietitians, regulatory consultants, food safety experts, or attorneys. You are solely responsible for verifying all information, ensuring regulatory compliance (including FDA, state, and local requirements), and obtaining all necessary approvals before using any output in a commercial or production setting.

You agree to indemnify, defend, and hold harmless LAB81 LLC and its officers, directors, members, employees, agents, affiliates, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your use of any Service outputs in commercial food production or distribution; (e) any third-party claims related to products you create, manufacture, or sell using information obtained through the Service; or (f) any content or data you submit to the Service.

10. Intellectual Property

The Service, including its design, code, features, graphics, and content (excluding User Content), is owned by LAB81 LLC and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

You retain ownership of the recipes and ingredient data you submit to the Service ("User Content"). By submitting User Content, you grant LAB81 LLC a non-exclusive, worldwide, royalty-free license to use, process, and store your User Content solely for the purpose of providing and improving the Service.

11. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations;
• Attempt to gain unauthorized access to the Service or its related systems;
• Interfere with or disrupt the integrity or performance of the Service;
• Reverse engineer, decompile, or disassemble any aspect of the Service;
• Use the Service to generate content that is fraudulent, deceptive, or misleading;
• Resell, redistribute, or sublicense the Service or its outputs without our written consent;
• Use automated means (bots, scrapers) to access the Service without our prior written approval.

12. Assumption of Risk

You acknowledge and agree that food production involves inherent risks, including but not limited to food safety hazards, allergen contamination, and regulatory non-compliance. You assume all risks associated with the use of any information, outputs, or materials generated by the Service. You are solely responsible for ensuring that any food products you create, manufacture, or sell comply with all applicable federal, state, and local laws, regulations, and safety standards.

13. Dispute Resolution and Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved through binding individual arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall be conducted in the state where LAB81 LLC is registered, unless mutually agreed otherwise.

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE YOUR RIGHT TO A JURY TRIAL AND YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any legal proceedings not subject to arbitration shall be brought exclusively in the state or federal courts located in Delaware.

15. Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease. Sections 6 through 14 of these Terms shall survive termination.

16. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on the Service with a revised "Last updated" date. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.

17. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and LAB81 LLC regarding the Service and supersede all prior agreements, understandings, and communications, whether written or oral.
